Terms of Service

1. Definition of Managed AI Service

Star Vision Media provides a **Managed AI Service**. This means an all-in-one solution where we take responsibility for design, technical integration, continuous training (RAG), and monitoring of Star Vision Nexus™. The service is a managed subscription, not a license sale of source code.

2. Access & Client Cooperation

Service delivery requires the Client to provide necessary access (API keys, credentials). Star Vision Media is not liable for limited functionality caused by the Client withholding access to necessary management systems.

3. Intellectual Property & Trade Secrets

• The client owns their own source data and the output text generated by the AI agent during the contract period. • Star Vision Media retains exclusive ownership of all **Neural Logic, System Prompts, proprietary RAG architecture**, and algorithms constituting Star Vision Nexus™. These are considered Trade Secrets of Star Vision Media. • The client has no right to reverse-engineer or copy the internal prompt structure of Nexus AI™.

4. Payment Terms & Service Suspension

• Setup fees are invoiced at project start. Monthly fees are invoiced in advance. • In case of non-payment, we reserve the right to immediately deactivate the managed AI instance until full payment is received.

5. Limitation of Liability (Critical AI Decisions)

• Star Vision Media monitors the system, but AI technology is inherently probabilistic. We do not guarantee 100% accurate responses in every situation. • The client is responsible for validating critical decisions or answers concerning legal, medical, or financial matters. Star Vision Media is never liable for indirect losses caused by AI output.

6. Termination & Deactivation

• Upon termination, the AI infrastructure is deactivated at the end of the contract period. Star Vision Media assists with raw data export (text conversations) but does not hand over trained models or proprietary logic.

7. Force Majeure & Model Availability

Star Vision Media is not liable for outages caused by third-party model providers (e.g., Google, OpenAI). As part of our Managed Service, we commit to migrating to an equivalent alternative if a model is permanently discontinued.

8. Confidentiality

Both parties commit to strict confidentiality regarding business data, technical configuration, and pricing. This survives termination for 24 months.

9. Technical Audit & Complaints

Complaints must be made in writing within 7 days. In case of disputes regarding AI performance, parties agree to conduct a joint technical audit to determine root cause.

10. Amendment of Terms

We reserve the right to adjust terms to meet new AI regulations. Users will be notified of changes at least 30 days in advance.

11. Applicable Law & Jurisdiction

These terms are governed by Swedish law. Disputes shall first be resolved through professional negotiation. If no agreement is reached, the dispute shall be settled by the Gothenburg District Court.
